Terms of Service (Draft v1.0)

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of GS Astuto services, including bookings for rides, stays, tours, and related experiences (“Services”). By making a booking or using our Services, you agree to these Terms.
2. Definitions
- “Company” means GS Astuto and its authorized operators.
- “Customer” means the person who books or uses the Services.
- “Booking” means a confirmed reservation for one or more Services.
- “Resources” means bikes, lodging, gear, or other inventory offered for rent or use.
3. Eligibility
You must be legally capable of entering into a binding contract under applicable Japanese law. Certain Services may require a minimum age, a valid driver’s license, cycling experience, or other conditions, which will be stated at booking.
4. Booking Process
Bookings are requests until confirmed by the Company. Confirmation is provided by email, on-screen message, or other written notice. You are responsible for providing accurate contact, identity, and booking details.
5. Pricing
Prices are shown in Japanese Yen unless otherwise stated and may vary by date, location, resource type, duration, and season. Taxes, fees, deposits, and optional extras may apply and will be disclosed before payment where practicable.
6. Payments
Payment is due as indicated at checkout (full prepayment, deposit, or on-site balance). Accepted methods may include credit card and other processors we support. Failed or incomplete payment may cancel or suspend a Booking.
7. Customer Changes
Date, guest, or resource changes are subject to availability and may incur a change fee or price adjustment. Change requests should be submitted as early as possible through the contact channel provided in your confirmation.
8. Cancellation
Cancellation rules (including free-cancellation windows, partial refunds, and no-show fees) are stated at booking or in your confirmation. Unless a more specific policy applies, cancellations after the free window may be non-refundable in whole or in part.
9. Company Changes
We may modify a Booking for operational, safety, or weather-related reasons. Where possible, we will offer a suitable alternative, reschedule, or provide a refund of unused portions of the Booking.
10. Force Majeure
We are not liable for failure or delay caused by events beyond reasonable control, including earthquakes, typhoons, floods, epidemics, government orders, transport disruptions, strikes, accidents, or infrastructure failures.
11. Customer Responsibilities
You agree to use Resources safely and lawfully, follow staff instructions, return items on time and in good condition (ordinary wear excepted), and not transfer a Booking without our consent.
12. Insurance
Coverage included with a Booking (if any) will be described at checkout or in your confirmation. You remain responsible for obtaining any additional personal, travel, or liability insurance you consider necessary.
13. Liability
To the fullest extent permitted by law, the Company’s liability is limited to the amount you paid for the affected Booking. We are not liable for indirect, incidental, or consequential losses, except where mandatory Japanese consumer law provides otherwise.
14. Third Parties
Some Services may be fulfilled by independent partners. Those partners may have their own terms. We are not responsible for third-party acts or omissions except as required by applicable law.
15. Intellectual Property
All website content, branding, photos, text, and materials remain the property of GS Astuto or its licensors. You may not copy, distribute, or reuse them without prior written permission.
16. Privacy
Personal data collected for bookings and support is handled in accordance with our Privacy Policy and applicable Japanese privacy laws.
17. Governing Law
These Terms are governed by the laws of Japan. Exclusive jurisdiction shall lie with the courts of Gunma Prefecture, Japan, unless mandatory law requires otherwise.
18. Electronic Acceptance
Clicking to accept, completing checkout, or otherwise confirming a Booking constitutes electronic acceptance of these Terms and has the same effect as a signed agreement.
19. Entire Agreement
These Terms, together with your Booking confirmation and any policies referenced therein, form the entire agreement between you and the Company regarding the Services.
